ChamberPoint Terms of Service
1. Acceptance of Terms
By accessing or using ChamberPoint ("Service"), operated by Forge Stack LLC ("Company", "we", "us", or "our"), you ("User", "you", or "your") agree to be bound by these Terms of Service. If you do not agree, do not use the Service.
2. Description of Service
ChamberPoint provides a cloud-based platform for Chambers of Commerce and similar organizations to manage memberships, websites, communications, payments, and related operations.
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice.
3. User Responsibilities
You agree to:
* Provide accurate and complete information
* Maintain the security of your account credentials
* Use the Service in compliance with all applicable laws
* Not misuse, disrupt, or attempt unauthorized access to the Service
You are solely responsible for all activity that occurs under your account.
4. Payments and Billing
Certain features of the Service require payment of fees.
All fees are non-refundable unless otherwise stated in writing.
You authorize us to charge your payment method on a recurring basis where applicable.
We reserve the right to change pricing at any time with reasonable notice.
5. Third-Party Services
The Service may integrate with third-party providers (including but not limited to payment processors, email services, and analytics tools).
We are not responsible for the availability, accuracy, or performance of third-party services.

You retain ownership of any data, content, or materials you submit to the Service.
You grant us a non-exclusive, worldwide, royalty-free license to use, host, store, and process your data solely for the purpose of providing the Service.

* Loss of data
* Business interruption
* Reputational damage
This limitation applies regardless of the cause of action, whether in contract, tort, negligence, or otherwise, even if we have been advised of the possibility of such damages.
9. No Warranty
The Service is provided "as is" and "as available" without warranties of any kind, express or implied.
We disclaim all warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
10. Indemnification
You agree to indemnify, defend, and hold harmless ChamberPoint and its owners, employees, contractors, and affiliates from and against any claims, damages, losses, liabilities, costs, or expenses (including legal fees) arising out of:
* Your use of the Service
* Your violation of these Terms
* Your violation of any law or third-party rights
11. Account Termination
We reserve the right to suspend or terminate your account at any time, with or without notice, for any reason.
You may cancel your account at any time.
Upon termination, your access to the Service may be immediately revoked, and we may delete your data without liability.
12. Data Loss and Backup
You acknowledge that you are solely responsible for maintaining backups of your data.
We are not liable for any loss, corruption, or recovery of data.
13. Force Majeure
We are not liable for failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, internet outages, cyberattacks, or government actions.
14. Changes to Terms

Continued use of the Service after changes constitutes acceptance of the updated Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Alabama, without regard to conflict of law principles.
